5.7 vortec stumbles/dies when shifts

So as stated my truck stumbled/dies when it shifts up through the gears and the t/c goes in to lock up, also when shifting from park to reverse, and vise versa it usually stalls or "bucks" into gear.
Also idles a bit rough and and has a lot of hesitation if I drive it before it's up to normal operating temp, as long as I wait till she's warmed up she fine!...besides the whole shifting thing!

So am I chasing a motor problem? Tranny problem? Electrical problem? Any help would be great!

No misfires
plugs, wires, cap, rotor all fairly new (6k miles) and all delco
Cleaned the MAF
Fuel pressure is good
Checked all grounds and there good
New fuel filter (less then 3k)
New fuel pump (around 8k)
No codes (besides rear o2's, no cats)
Only thing is the water temp (at least the gauge) never gets above 160 (have a 180 t-stat)

Truck (96 K1500) and tranny have 196k
Motor has around 110k
